Terms of service

1. About these terms

These terms form the agreement between you and Glitch Servers Ltd, trading as Invicta Cloud ("we", "us"), a company registered in England and Wales under number 16652099, at 26 Kings Hill Avenue, Kings Hill, West Malling, Kent ME19 4AE. They apply to every service you order from us. Our services are intended for business customers.

2. Your service

We provide the virtual server, resources and features described for the plan you order. Managed VPS also includes the management described on our managed VPS page. We may improve or change how we deliver a service, but we will not reduce the resources on your plan without your agreement.

3. Prices and payment

  • Prices are shown in pounds sterling. Glitch Servers Ltd is not VAT registered, so no VAT is charged.
  • Services are billed monthly in advance unless we agree invoice or annual billing with you in writing.
  • If a payment fails we will tell you. If it is still unpaid after 7 days we may suspend the service, and after 30 days we may end it and delete its data.
  • We will give you at least 30 days' notice of any price change.

4. Upgrades, cancellation and ending the service

You can upgrade at any time and will be charged the difference for the rest of the billing month. You can cancel at any time from your billing portal. Your service runs to the end of the period you have paid for, and we do not refund part months. When a service ends, its data is deleted, so please take copies of anything you need first.

5. Acceptable use

You must not use our services to:

  • break the law, or store or send unlawful material;
  • send unsolicited bulk email, or host phishing or malware;
  • attack, scan or disrupt other networks or systems, or run open proxies or relays;
  • mine cryptocurrency, or use resources in a way that harms other customers;
  • infringe anyone else's intellectual property or privacy.

If we believe a service is being used in breach of this section, we may suspend it straight away to protect our network and other customers. We will tell you why and work with you to resolve it.

6. Your responsibilities

You are responsible for the software and data on your server, for keeping your passwords and keys secure, and, on self-managed plans, for keeping your server updated and taking your own backups. Snapshots are a convenience, not a backup held somewhere else.

7. Our responsibilities

We will provide the service with reasonable skill and care, maintain the platform it runs on, and respond to faults promptly. Planned maintenance that affects your service will be notified in advance where we can.

8. Data protection

We handle personal data as described in our privacy notice. For data you store on your servers, we act as your processor, and we will sign a data processing agreement on request.

9. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Otherwise, we are not liable for loss of profits, revenue, business or data, or for indirect losses, and our total liability in any 12-month period is limited to the amount you paid us for the affected service in that period.

10. Changes to these terms

We may update these terms. We will tell you at least 30 days before a change that affects you takes effect, and you may cancel before then if you do not accept it.

11. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
